Terms of Service
Last updated: October 2026
1. Introduction
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”) and Propagate 3 LLC (“Company,” “Propagate,” “we,” “our,” or “us”) governing your access to and use of the Propagate real estate software platform, the website located at https://propagate.cloud, and related products and services (collectively, the “Service”). By creating an account, clicking to accept, or otherwise accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service.
If you and Propagate have entered into a separate written agreement signed by both parties that covers the Service, including a non-disclosure agreement, subscription agreement, or data processing addendum, that signed agreement controls over these Terms to the extent of any conflict. Your acceptance of these Terms does not modify, limit, or supersede any such signed agreement.
2. Scope and Limitations of Service
Propagate provides an online real estate software platform offering tools, data, analytics, and resources to assist Users in sourcing, evaluating, and managing property investment opportunities. Access is provided to Users who agree to pay the applicable subscription fees for the selected plan. Propagate is not a real estate broker, agent, appraiser, lender, or investment advisor, does not participate in or receive commissions from any real estate transaction resulting from use of the Service, and does not provide legal, tax, valuation, or investment advice. All valuations, repair estimates, scores, rankings, and recommendations produced by the Service are estimates generated by automated systems and are provided for informational purposes only. You are solely responsible for independently verifying any output before relying on it.
3. Privacy and Electronic Communications
Your use of the Service is subject to Propagate’s Privacy Policy, which governs how we collect, use, and protect personal data. By using the Service or communicating with Propagate electronically, you consent to receive electronic communications from us, and you agree that such communications satisfy any legal requirement that communications be in writing.
4. Your Account
You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account. You agree to provide accurate, current, and complete information during registration and to update it promptly. You may not share account access. Propagate may suspend or terminate accounts for violation of these Terms.
5. Plans, Fees, Billing, and Subscription Terms
5.1 Plans. The Service is offered in tiered subscription plans. The plans available to you, their prices, their included usage limits, and the features available on each are published on the Propagate pricing page and within your account. Those published details are incorporated into these Terms by reference and are the authoritative description of what your plan includes.
5.2 Fees, Automatic Renewal, and Cancellation. Your subscription is an AUTOMATICALLY RENEWING subscription. By subscribing you agree to pay the fees for your selected plan and billing interval, and you authorize Propagate to charge your payment method on a recurring basis. YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF EACH BILLING PERIOD, FOR A FURTHER PERIOD OF THE SAME LENGTH, AT THE THEN-CURRENT PRICE FOR YOUR PLAN, AND YOUR PAYMENT METHOD WILL BE CHARGED, UNTIL YOU CANCEL. YOU MAY CANCEL AT ANY TIME, EFFECTIVE AT THE END OF THE THEN-CURRENT BILLING PERIOD, FROM YOUR ACCOUNT SETTINGS. The billing interval, the renewal price, and the cancellation method are presented to you before you complete your purchase, and we send you a confirmation by email after purchase that restates them in a form you can retain. Fees are stated exclusive of taxes, and you are responsible for any applicable taxes.
5.3 Renewal Reminders. For an annual subscription, and for any subscription where applicable law requires it, we will send you a reminder by email before the subscription renews, stating the renewal date, the amount that will be charged, and how to cancel.
5.4 Cancelling. You can cancel at any time from your account settings, in the same manner in which you subscribed and without having to contact us. We do not require a phone call, a retention conversation, or any other step to cancel.
5.5 Price and Plan Changes. Propagate may modify prices, plan contents, usage limits, or credit allocations on at least thirty (30) days’ notice to you by email or in-app notice. Changes take effect at the start of your next billing period. If you do not accept a change, your remedy is to cancel before it takes effect.
5.6 Non-Payment. If payment fails, Propagate may suspend or limit access to the Service, including access to plan-gated features and accrual of credits, until payment is received.
6. AI Credits and Metered Usage
6.1 Credits. Certain features of the Service consume AI credits (“Credits”). The operations that consume Credits and the number of Credits each consumes are published within your account and may be adjusted from time to time in accordance with Section 5.3. Credits have no cash value, are not a currency or stored-value instrument, are non-refundable except as required by law, and may not be sold, transferred, or exchanged.
6.2 Plan Credits. Each billing period, your plan allocates a number of Credits to your account (“Plan Credits”). Plan Credits are made available at the start of each billing period, expire at the end of that billing period, and do not roll over.
6.3 Purchased Credits. You may purchase additional Credits in bundles (“Purchased Credits”). Purchased Credits do not expire at the end of a billing period, are not reduced, reset, or removed by the renewal of your subscription, and carry over between billing periods for so long as your account remains active.
6.4 Order of Consumption. Plan Credits are consumed before Purchased Credits, so that Purchased Credits are preserved for as long as possible.
6.5 Plan Changes. On an upgrade or downgrade, your Purchased Credit balance carries over unchanged, and your Plan Credit allocation adjusts to the new plan beginning with the next billing period.
6.6 Exhaustion and Termination. If your Credit balance reaches zero, Credit-consuming features become unavailable until additional Credits are allocated or purchased. Credits are forfeited on termination or cancellation of your account and are not refundable.
6.7 Failed Operations. Propagate will make commercially reasonable efforts not to charge Credits for an operation that fails due to an error in the Service, and to restore Credits consumed by such an operation on request.
7. Plan Tiers, Feature Access, and Downgrades
7.1 Gated Features. Some features of the Service are available only on certain plans. The features available on your plan are those published for that plan at the time of your subscription or renewal. Propagate may also grant access to a feature outside your plan on a trial, promotional, or administrative basis, and may withdraw that access on notice.
7.2 Usage Limits. Plans include limits on items such as connected lead sources, records ingested per billing period, and saved searches. Propagate may decline to process activity that exceeds your plan limits.
7.3 Downgrades. If you move to a lower plan, or if your subscription lapses, access to features not included in the lower plan ends, and your usage limits adjust to that plan. Configurations and data that exceed the lower plan’s limits may become read-only or inaccessible, but will not be deleted solely for that reason during the retention period described in Section 11.4.
8. Cancellations and Refunds
You may cancel at any time before the end of your billing period from your account settings, using the same method by which you subscribed, or by emailing contact@propagate.cloud. On cancellation, access continues until the end of the current billing term and the subscription does not renew. Fees are non-refundable except that a refund of the initial subscription payment is available if requested within twenty-four (24) hours of that initial purchase.
9. Artificial Intelligence and Automated Processing
9.1 How the Service Uses AI. The Service uses automated systems, including machine learning models and large language models, to process your data and produce outputs such as property valuations, after-repair-value estimates, repair cost estimates, buyer matching and scoring, document analysis, and conversational assistance. To provide these features, data you submit or connect, which may include property records, transaction data, lead and counterparty records, documents, and the contents of connected email and file-storage accounts, is transmitted to and processed by third-party AI model providers acting as our service providers.
9.2 No Training on Your Data. Propagate does not use your User Data, or outputs generated from your User Data, to train, fine-tune, or otherwise improve any AI or machine learning model that is made available to, or used to serve, other customers. Propagate requires the third-party AI model providers it uses to be contractually prohibited from using inputs or outputs from the Service to train or improve their models, and does not use consumer-grade or free-tier AI tools to process User Data.
9.3 What Propagate May Use. Nothing in Section 9.2 restricts Propagate from (a) processing your User Data through AI and automated systems solely to deliver the Service to you, (b) developing and improving the Service, its models, algorithms, and infrastructure by means that do not involve training, fine-tuning, calibrating, evaluating, or benchmarking on your User Data in any form, including any aggregated, anonymized, de-identified, or derived form, or (c) using System Metadata as described in Section 12.
9.4 Nature of Output. AI-generated output is probabilistic and may be incomplete, inaccurate, or out of date. Output is not a broker price opinion, appraisal, inspection, or professional advice. You are responsible for reviewing and verifying output before acting on it, and for any decision you make in reliance on it.
9.5 Human Review. Propagate personnel may access User Data and AI inputs and outputs where necessary to operate, support, secure, debug, or evaluate the quality of the Service, subject to access controls and confidentiality obligations.
10. Intellectual Property
All content, data, software, models, algorithms, logos, and other materials provided through the Service (“Propagate Content”) are the exclusive property of Propagate 3 LLC or its licensors. Propagate Content does not include User Data or Customer Outputs, which are owned by you as described in Section 11.1. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service strictly in accordance with these Terms. You may not reproduce, modify, distribute, or create derivative works of Propagate Content without prior written consent.
11. User Data and Ownership
11.1 Your Ownership. You retain all right, title, and interest in and to the data, content, and information you submit to or connect to the Service (“User Data”), and in the outputs the Service generates from your User Data that identify you, your properties, your counterparties, or your non-public business activity (“Customer Outputs”). Propagate claims no ownership in your User Data or Customer Outputs.
11.2 License. You grant Propagate a non-exclusive, non-transferable (except to affiliates and to service providers bound by confidentiality obligations), worldwide license to host, store, process, transmit, and display your User Data solely as necessary to provide, maintain, secure, and support the Service for you. This license does not permit Propagate to use your User Data to train AI models for other customers, to provide services to other customers, or to create any output delivered to any other customer.
11.3 Security. Propagate maintains a written information security program with administrative, technical, and physical safeguards appropriate to the nature and sensitivity of User Data, including encryption in transit and at rest, role-based access control, multi-factor authentication for access to systems holding User Data, logical separation of each customer’s data from that of other customers, and logging of access. The Service is operated as a multi-tenant service on third-party cloud infrastructure. Dedicated or physically segregated infrastructure is not included in any standard plan and is available only under a separate written agreement. Propagate will notify you without undue delay, and in any event within seventy-two (72) hours, after confirming a security incident involving unauthorized access to or disclosure of your User Data.
11.4 Retention, Export, and Deletion. Lead records and their related artifacts are retained for thirty (30) days from ingestion and are then deleted automatically. Data held in the analytical store supporting the Intelligent Buy Box and comparable features is retained for ninety (90) days and is then deleted automatically. Account and configuration data is retained for the term of your subscription. You may export your User Data through the Service at any time. Within thirty (30) days after termination, or earlier on your written request, we will at your election return your User Data then held in the Service in a commercially standard electronic format or delete it. Copies held in routine backup systems are deleted in the ordinary course of backup rotation and in any event within twelve (12) months, and copies required to be retained by law are kept only for that purpose. Retained copies remain subject to these Terms for as long as they are retained.
11.5 Prohibited Data. You may not upload or transmit data that infringes intellectual property rights, violates privacy or communications laws, or contains malicious code. You also may not submit to the Service any government identification number, financial account number, payment card number, biometric or health information, precise geolocation of an individual, or other category of information treated as sensitive under applicable privacy law. If you connect an email or file-storage source, you are responsible for scoping that connection so that such information is not ingested. Propagate may remove data that violates these Terms or poses a legal or security risk to the Service.
12. Service Metadata and Reporting
12.1 System Metadata. Propagate collects and uses technical and operational metadata about the performance of the Service, such as uptime, latency, error rates, feature usage counts, credit consumption volumes, and storage and processing volumes (“System Metadata”), to operate, secure, support, and improve the Service. System Metadata does not include, and is not used to derive, the content of your User Data, including any property, counterparty, price, transaction, margin, or strategy information.
12.2 Organization Reporting. Where you access the Service through an organization account, Propagate may provide that organization’s administrators with usage metrics, account performance, and engagement analytics for their organization.
12.3 No Cross-Customer Use. Propagate does not disclose identifiable User Data to any third party except to service providers acting on our behalf under confidentiality obligations, as necessary to provide the Service, or as required by law. Propagate does not sell User Data, and does not use one customer’s User Data, whether in identifiable, anonymized, aggregated, or derived form, to create any dataset, model, score, match, or output delivered to another customer.
13. User Conduct and Restrictions
You agree not to use the Service for any unlawful purpose or in a manner that interferes with or disrupts it. Prohibited conduct includes reverse engineering, copying proprietary content, using automated tools to extract data, sharing account access, and using the Service for competitive analysis or benchmarking of the Service itself.
14. Relationship Data and Lead Uploads
The Service enables Users to upload or connect Relationship Data, which may include Client Transactional Relationship Data and Lead Data. Only the following are permitted: (a) Client Transactional Relationship Data, meaning data relating to your actual client transactions or engagements, provided you have obtained all necessary permissions to share or store it; and (b) Lead Data, meaning data relating to potential clients who have either consented to be contacted (“Opt-In Lead Data”) or with whom you have had prior legitimate contact (“Mutual Contact Lead Data”). You may not upload data about individuals or entities with whom you have had no legitimate relationship and from whom you have not received affirmative consent. Propagate may remove data it believes violates these Terms or presents legal, reputational, or security risk.
15. Third-Party Integrations and Connected Products
15.1 Connected Products. Propagate integrates with third-party applications, services, and data providers (“Connected Products”). By connecting a Connected Product you authorize Propagate to access and exchange the data necessary to enable that integration, and you confirm you have the authority to grant that access. A Connected Product is your vendor, not ours, and your use of it is subject to its own terms and privacy policy.
15.2 Credentials and Scope. We request only the minimum authorization scopes needed for the features you enable, and read-only scopes wherever those features allow. We store your access credentials encrypted, do not write them to logs, and use them only to provide the Service to you. We do not query a Connected Product on an ad-hoc or exploratory basis; access happens through the functions you have configured, or to diagnose a fault you report. You can disconnect at any time from within the Service or from the provider’s own console, and we delete the credentials when you do. We will tell you within seventy-two (72) hours if we confirm that a credential may have been exposed.
15.3 Google Workspace Sources. If you connect a Google account, Propagate’s use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including its Limited Use requirements. Propagate uses that data only to provide and improve the features you have connected it for, does not use it to train generalized AI or machine learning models, does not transfer it except as necessary to provide those features, to comply with applicable law, or in connection with a merger or acquisition following your consent, does not sell it, and allows human reading of it only with your affirmative agreement for specific messages or files, where necessary for security or to comply with applicable law, or where the data has been aggregated and de-identified. Before Propagate processes the contents of a connected Google source using artificial intelligence, we will tell you that it does so and obtain your affirmative consent. You may revoke access at any time from your Google account settings or from within the Service.
16. Third-Party Data Providers and Real Estate Data Sources
Propagate may obtain or provide access to real estate data through third-party or licensed data sources. You agree to comply with all terms, use restrictions, and attribution requirements those sources impose. Misuse of third-party data, including unauthorized redistribution or public posting, is prohibited and may result in suspension or termination.
17. Compliance and Data Protection
17.1 Your Responsibility. You are solely responsible for ensuring that all data you upload to or process through the Service complies with applicable law, including data privacy, consumer protection, and electronic communications regulations. You warrant that you have obtained all required consents, authorizations, and notices before uploading or sharing data. Propagate may review, restrict, or remove data at its discretion to ensure compliance with law or these Terms.
17.2 Data Processing Addendum. Where Propagate processes personal information on your behalf, it does so solely as your service provider or processor and solely to provide the Service, and does not sell or share that personal information. Those obligations, including the terms required by the California Consumer Privacy Act and other applicable privacy laws, the list of subprocessors, and the applicable security measures, are set out in Propagate’s Data Processing Addendum, which is incorporated into these Terms by reference and available at https://propagate.cloud/dpa. By accepting these Terms you also accept the Data Processing Addendum. If you and Propagate have signed a separate data processing addendum, that signed addendum applies instead.
18. Organization Accounts and User Roles
18.1 Organization Accounts. If you access the Service through an organization or business entity (an “Organization”), you acknowledge that the Organization may manage and control your access to the Service and receive reports on your use of it. Propagate may provide Organization administrators with tools to oversee activity, manage permissions, and configure settings on the Organization’s behalf. Administrators may review, modify, or deactivate access consistent with the Organization’s policies.
18.2 User Roles. Propagate distinguishes among (a) Individual Users, who purchase or access the Service directly; (b) Organization Users, granted access through an Organization subscription; and (c) Administrative Users, designated by an Organization to manage accounts within it. Administrative Users may not view or modify the personal data or leads of Individual Users outside their Organization, and may not cancel an Individual User’s account without that User’s consent. Propagate will not deactivate or cancel an Individual User’s account at an Organization’s request except where legally required or as provided in these Terms.
18.3 Termination and Transfer. Organization User access is governed by the applicable Organization subscription. On termination of that subscription, Propagate may deactivate Organization User accounts or transfer data control to the Organization in accordance with its contractual obligations. Individual Users in an Organization relationship may request continued access to their personal data subject to applicable law and these Terms.
19. Disclaimer of Warranties
To the maximum extent permitted by law, Propagate provides the Service “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Propagate does not warrant that the Service will be error-free or uninterrupted, or that any valuation, estimate, score, match, or other output will be accurate or complete.
20. Limitation of Liability
To the maximum extent permitted by law, Propagate is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, data, or goodwill, arising from or related to the Service. Propagate’s total aggregate liability shall not exceed the amount you paid to Propagate in the twelve (12) months preceding the event giving rise to the claim. Nothing in this Section limits liability that cannot be limited under applicable law, or Propagate’s obligations under a separate signed agreement between the parties.
21. Indemnification
You agree to indemnify, defend, and hold harmless Propagate 3 LLC, its affiliates, officers, and employees from claims, damages, liabilities, and expenses arising from your use of the Service, your violation of these Terms, your breach of the warranties in Sections 14 and 17, or your infringement of third-party rights.
22. Arbitration and Dispute Resolution
22.1 Informal Resolution. Before initiating arbitration, the parties will attempt in good faith to resolve the dispute for thirty (30) days after written notice describing it.
22.2 Binding Arbitration. Any dispute arising out of or relating to these Terms or the Service that is not resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association before a single arbitrator seated in Maricopa County, Arizona. The AAA Commercial Arbitration Rules apply, except that if the AAA determines that its Consumer Arbitration Rules apply to a particular dispute, those rules will govern that dispute instead and the remainder of this Section continues to apply. If the AAA declines to administer the arbitration, the parties will agree on a substitute administrator, and failing agreement either party may ask a court in Maricopa County to appoint one. The Federal Arbitration Act governs this Section. Judgment on the award may be entered in any court of competent jurisdiction.
22.3 Delegation. The arbitrator has exclusive authority to resolve any dispute about the interpretation, applicability, enforceability, or formation of this Section, except that a court decides whether the waiver in Section 22.4 is enforceable.
22.4 Waivers. Each party waives any right to a trial by jury and to participate in a class, collective, or representative action.
22.5 Exceptions. Either party may (a) bring an individual claim in small claims court, and (b) seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information, without first proceeding under this Section.
22.6 Your Right to Opt Out. You may opt out of this Section 22 by emailing contact@propagate.cloud with your account name and a statement that you decline arbitration, within thirty (30) days after you first accept these Terms. Opting out does not affect any other part of these Terms, and we will not retaliate for it. If you opt out, disputes are resolved in the courts identified in Section 23.
22.7 Severability. If the class-action waiver in Section 22.4 is held unenforceable as to a particular claim, that claim shall proceed in court and the remainder of this Section continues to apply to all other claims. Any other unenforceable portion of this Section shall be severed and the remainder enforced.
23. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles. The exclusive venue for proceedings not subject to arbitration is the state and federal courts located in Maricopa County, Arizona.
24. Termination
Propagate may suspend or terminate access to the Service for nonpayment, violation of these Terms, or risk to the Service or its users. Except where immediate suspension is necessary to prevent harm or comply with law, Propagate will provide reasonable notice and an opportunity to cure. On termination, all licenses and rights granted to you cease, and Sections 9, 10, 11.1, 11.2, 11.4, 12.3, and 19 through 28 survive.
25. International Users
26. Changes to These Terms
26.1 How We Change Them. Propagate may modify these Terms. We will give you at least thirty (30) days’ notice of a material change by email to the address on your account and by notice within the Service, and will update the “Last updated” date.
26.2 Your Acceptance. For a material change, we will ask you to accept the updated Terms before you continue using the Service. If you do not accept, you may cancel and, if you cancel before the change takes effect, you will receive a pro-rata refund of prepaid fees for the remainder of your then-current billing period. Non-material changes, such as corrections and clarifications, take effect when posted.
26.3 Arbitration. A change to Section 22 does not apply to any dispute of which we had notice before the change took effect, and we will not apply a change to Section 22 retroactively.
The Service is intended for users located in the United States, and User Data is stored and processed in data centers located in the United States. If you access the Service from outside the United States, you are responsible for compliance with applicable local law and do so at your own risk.
